Terms of Use
This Terms of Purchase Agreement (the “Agreement”), is made by and between Rachel & Co. Inc. trading as Haute Stock (hereafter known as “Company”), and you (hereafter known as “Purchaser”, and collectively, the “Parties”).
By purchasing a Product (as defined below) from Company, Purchaser agrees to the following terms:
PRODUCT.
Company provides Styled Stock Photography Membership (herein referred to as the “Product”). Purchaser agrees to abide by all policies and procedures as outlined in this agreement as a condition of their purchase. Purchaser’s purchase of the Product includes the ability to enter into agreements and/or make transactions electronically. PURCHASER ACKNOWLEDGES THAT THEIR PURCHASE CONSTITUTES THEIR AGREEMENT TO AND INTENT TO BE BOUND BY THE TERMS OF THIS AGREEMENT AND ANY RELATED AGREEMENT INCLUDING OTHER POLICIES AND CONTRACTS, AND TO PAY FOR PRODUCT.
REFUNDS.
We understand that finding the right imagery and stock assets is an important factor in building your brand. If you don't find anything you want to use within 7 days of signing up for a membership, email us at hello@hautestock.co to request a Couture Curation® or a refund.
A refund will only be issued if you have not downloaded any images or assets from the library.
NO REFUNDS will be issued if Purchasers forget to cancel their membership prior to the renewal date. The member account will remain active until the end of the subscription term and all images downloaded while the membership was active may still be used.
TERMINATION.
You may terminate your membership at any time. However, no refunds will be issued for payments already processed.
Company may suspend provision of the Products, or terminate, without refund to you, this Purchase Agreement and the Asset License: a) upon your breach of the terms hereof; b) upon failure by you to pay a fee as associated owed to the Company; c) if you become insolvent or file, or consent to, a petition in bankruptcy or are adjudicated bankrupt or insolvent or make an assignment for the benefit of creditors or an arrangement pursuant to any law regarding bankruptcy or the rights of creditors or discontinue or dissolve your business or if a receiver is appointed with respect to your business or assets; or (d) if you breach any of the terms of the Asset License.
ASSET LICENSE.
Terms of Membership
These Terms of Membership (“Terms”) govern your use of all stock assets and content provided by Rachel & Co. Inc. (doing business as Haute Stock), accessed through a paid membership. By accessing or using the stock assets, you agree to be bound by these Terms.
If you have questions about any portion of these Terms, please contact us prior to using the assets.
License Grant & Scope
Assets included in the membership or provided as free content come with a non-exclusive, non-transferable, limited-use license. No ownership rights are transferred.
“Stock assets” refer to content such as images, videos, templates, icons, backgrounds, and quote graphics provided by Haute Stock.
This license permits use of the stock assets as described below, subject to the restrictions outlined in these Terms. The license is granted to the individual or legal entity that purchased the membership and may not be shared, sold, or sublicensed without written consent.
Purchaser MAY:
- Use stock assets for personal or business purposes, both online and in print.
- Use stock assets on social media platforms, Pinterest, blog posts, and websites.
- Use stock assets in online advertising, including Facebook, Instagram, Pinterest, and YouTube ads.
- Resize, crop, apply filters, adjust colors, and change asset orientation.
- Overlay stock assets with text, website screenshots, product designs, or PDF designs.
- Use stock assets as backgrounds in presentations, webinars, and slideshows.
- Incorporate stock assets into opt-ins such as checklists, workbooks, PDFs, and eBooks—provided the assets are flattened, overlaid with text or graphics, cannot be extracted, and are not the primary focus of the download.
- Use assets across multiple businesses solely owned and operated by the licensed member.
Purchaser MAY NOT:
- Sell, loan, sublicense, transfer, share, make available for download, or give away the stock assets to any third party.
- Share membership access or login credentials with any third party, including clients, customers, contractors, or business partners, without prior written consent from Haute Stock.
- Use stock assets to create derivative products where the asset is the main design component, such as art prints, mugs, phone cases, calendars, screensavers, or clipart.
- Use stock assets in client or customer work, even if modified, unless an Extended Commercial License (e.g., Agency or Designer Plan) has been purchased.
- Include stock assets in any product with resale rights (e.g., MRR, PLR, RR licenses).
- Use stock assets for social media management services for clients/customers unless an Extended Commercial License is held.
- Include stock assets in editable templates (e.g., website themes, quote graphics, Canva templates) unless covered by a Designer Plan.
- Use stock assets in eBooks or printed books for sale on Amazon or other mass distribution platforms without a Designer Plan.
- Use stock assets for mass distribution, including content inside membership sites, print-on-demand services, or third-party design platforms.
- Use stock assets in offensive, defamatory, illegal, or pornographic contexts.
- Claim stock assets as your own, or register them as part of a trademark or copyright.
- Transfer any copyright or usage rights to third parties.
- Use Haute Stock assets to create or promote competing stock content platforms or digital asset services.
Artificial Intelligence (AI) Restrictions
Purchaser may not use Haute Stock assets in any manner related to artificial intelligence (AI) that could result in the creation, training, or generation of derivative content.
This includes, but is not limited to:
- Using assets as training data for AI image generation tools
- Inputting assets into AI tools to create derivative images
- Using assets to fine-tune or train AI models
- Creating AI-generated content for commercial purposes based on or referencing Haute Stock assets
Any AI-related use that could reproduce, mimic, or derive from Haute Stock content is strictly prohibited, regardless of license type.
AI-Generated Content Notice
Portions of the photographic content displayed on this website may have been generated through the use of artificial intelligence (AI). AI-generated content is integrated to support artistic expression and is created using open-source tools and datasets. All such content will be clearly marked where applicable.
Legal Considerations
- All stock assets are protected by copyright, and ownership remains with Rachel & Co. Inc. (Haute Stock) or the original creator.
- Credit/attribution is not required but is always appreciated.
- Haute Stock makes no representations or warranties of non-infringement and does not guarantee that all assets have releases from brands, designers, or manufacturers whose trademarks, logos, or products may appear.
- Purchaser acknowledge and agree that Haute Stock is not liable for any claims, damages, or legal actions resulting from the use or modification of any stock assets.
- Violation of these Terms may result in termination of your license and membership without refund, and may also result in legal action.
Breach & Enforcement
Any unauthorized use of the stock assets constitutes a material breach of these Terms and may result in immediate termination of your license and access to the membership.
Upon breach, Haute Stock reserves the right to:
- Issue cease-and-desist notices;
- Invoice for unlicensed use at commercial licensing rates;
- Pursue damages, including lost licensing fees, legal costs, and enforcement fees;
- Seek injunctive relief or other equitable remedies in a court of law to prevent ongoing or future misuse;
- Report copyright infringement under the Digital Millennium Copyright Act (DMCA);
- Pursue all available legal and equitable remedies.
In any legal proceeding related to these Terms or the use of Haute Stock assets, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and court costs in addition to any other relief awarded.
You further agree to indemnify, defend, and hold harmless Rachel & Co. Inc. (Haute Stock) and its affiliates from and against any claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising out of or in connection with your breach of these Terms.
Modifications
We reserve the right to modify these Terms at any time. Your continued use of the membership and assets constitutes acceptance of any revised Terms.
TRANSFER.
Purchasers may not under any circumstances transfer membership or login credentials to a third party - whether a client, customer, or business partner without previous written consent obtained directly from Haute Stock.
NO GUARANTEE/WARRANTY.
Company sells Products 'as is' without warranty or guarantee of any kind, either express or implied, including no warranty as to merchantability or fitness for a particular purpose.
ASSUMPTION OF RISK.
Purchaser agrees to accept all risk associated with the use of any Product, including but not limited to, ingestion of or application to Purchaser’s person, the use of any Product personally or in business, all taxes and regulations applicable to any Product, all legal compliance issues related to any Product. Purchaser understands that the Company is disclaiming all liability from harm of any kind or nature caused directly or indirect from any Product.
INDEMNIFICATION.
Purchaser agrees to indemnify and hold harmless Company, its affiliates, and its respective officers, directors, agents, employees, and other independent contractors from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, including attorneys’ fees and costs, arising out of, or relating to, Purchaser’s action(s) under this Agreement or misuse of a Product. Purchaser agrees to defend against any and all claims, demands, causes of action, lawsuits, and/or judgments arising out of, or relating to, the Purchaser’s participation under this Agreement, unless expressly stated otherwise by Company, in writing.
LIMITATION OF LIABILITY.
Purchaser agrees that the Company’s liability for any reason shall be no more than the total purchase price of the Product purchased.
DISPUTE RESOLUTION.
If a dispute is not resolved first by good-faith negotiation between the Parties to this Agreement, every controversy or dispute to this Agreement will be submitted to binding arbitration. The arbitration shall occur within ninety-(90)-days from the date of the initial arbitration demand and shall take place in Calgary, Alberta. The Parties shall cooperate in exchanging and expediting discovery as part of the arbitration process and shall cooperate with each other to ensure that the arbitration process is completed within the ninety-(90)-day period. The written decision of the arbitrators (which will provide for the payment of costs, including attorneys’ fees) will be absolutely binding and conclusive and not subject to judicial review, and may be entered and enforced in any court of proper jurisdiction.
GOVERNING LAW.
This Agreement shall be governed by and construed in accordance with the laws of the province of Alberta, and of Canada, regardless of the conflict of laws principles thereof.
ENTIRE AGREEMENT; AMENDMENT; HEADINGS.
This Agreement constitutes the entire agreement between the Parties with respect to its relationship, and supersedes all prior oral or written agreements, understandings and representations to the extent that they relate in any way to the subject matter hereof. Neither course of performance, nor course of dealing, nor usage of trade, shall be used to qualify, explain, supplement or otherwise modify any of the provisions of this Agreement. No amendment of, or any consent with respect to, any provision of this Agreement shall bind either party unless set forth in a writing, specifying such waiver, consent, or amendment, signed by both parties. The headings of Sections in this Agreement are provided for convenience only and shall not affect its construction or interpretation.
SEVERABILITY.
Should any provision of this Agreement be or become invalid, illegal, or unenforceable under applicable law, the other provisions of this Agreement shall not be affected and shall remain in full force and effect.
WAIVER.
The waiver or failure of Company to exercise in any respect any right provided for herein shall not be deemed a waiver of any further right hereunder.
PRIVACY POLICY:
Rachel & Co. Inc. trading as Haute Stock (“Company”) is committed to protecting your privacy online. Company complies with the PERSONAL INFORMATION PROTECTION ACT (“PIPA”) and the included provisions of the CSA Model Code, as well as the General Data Protection Regulation ("GDPR") to protect the personal information of its customers. Personal information includes any information about an identifiable individual, such as name, address, gender, age, and other things. By providing Company with your personal information, you consent to its collection, use and disclosure by us in accordance with the terms of this Website Privacy Policy (the “Policy”). This Policy describes the personal information we collect and process through this website at www.hautestock.co (the “Site”).
Visitors to and users of the site are referred to as “user”, “you” and “your” and Company is referred to as “we”, “us”, and “our”.

WHAT DATA DO WE COLLECT ABOUT YOU, FOR WHAT PURPOSE AND ON WHAT GROUND WE PROCESS IT?
Personal data means any information capable of identifying an individual. It does not include anonymized data.
We may process the following categories of personal data about you:
- Communication Data that includes any communication that you send to us whether that be through the contact form on our website, through email, text, social media messaging, social media posting or any other communication that you send us. Financial data and purchase details are transferred to our payment processors Paypal and Stripe. You should review these processors’ Privacy Policy to determine how they use, disclose and protect your financial data We process this data to supply the goods and/or services you have purchased and to keep records of such transactions. Our lawful ground for this processing is the performance of a contract between you and us and/or taking steps at your request to enter into such a contract.
- User Data that includes data about how you use our website and any online services together with any data that you post for publication on our website or through other online services. We process this data to operate our website and ensure relevant content is provided to you, to ensure the security of our website, to maintain back- ups of our website and/or databases and to enable publication and administration of our website, other online services and business. Our lawful ground for this processing is our legitimate interests which in this case are to enable us to properly administer our website and our business.

Our lawful ground for this processing is our legitimate interests which in this case are to study how customers use our products/services, to develop them, to grow our business and to decide our marketing strategy.
- Sensitive Data we do not collect any Sensitive Data about you. Sensitive data refers to data that includes details about your race or ethnicity, religious or philosophical beliefs, sex life, sexual orientation, political opinions, trade union membership, information about your health and genetic and biometric data. We do not collect any information about criminal convictions and offences.
- Targeted Advertisements we may use Customer Data, User Data, Technical Data and Marketing Data to deliver relevant website content and advertisements to you (including Facebook ads or other display advertisements) and to measure or understand the effectiveness of the advertising we serve you. Our lawful ground for this processing is legitimate interests which is to grow our business. We may also use such data to send other marketing communications to you. Our lawful ground for this processing is either consent or legitimate interests (namely to grow our business).

This is a security measure to ensure that personal data is not disclosed to any person who has no right to receive it. Furthermore, you agree to the full Asset License and Purchase Agreement as listed herein.
You agree to notify us immediately of any unauthorized or improper use of your username or password or any other breach of security. To help protect against unauthorized or improper use, make sure that you log out at the end of each session requiring your username and password.
We will use our best efforts to keep your username and password(s) private and will not otherwise share your password(s) without your consent, except as necessary when the law requires it or in the good faith belief that such action is necessary, particularly when disclosure is necessary to identify, contact or bring legal action against someone who may be causing injury to others or interfering with our rights or property.
ANTI SPAM POLICY
We have a no spam policy and provide you with the ability to opt-out of our communications by selecting the unsubscribe link at the footer of all e-mails. We have taken the necessary steps to ensure that we are compliant with the CAN-SPAM Act of 2003 by never sending out misleading information. We will not sell, rent or share your email address.
